STANDARD TERMS AND CONDITIONS SUMMARY

20th January 2009 Herewith please find the basis for our quotations for any future work or projects that Keyfab may enter into. The following information is negotiable depending on the work or project and various other variables.

CONTINUANCE OF WORK

It is imperative to Keyfab that All agreements, contracts and purchase orders c/w full scope of works, specifications, schedules, applicable documents, drawings and all other related project requirements needs to be clearly stipulated and/or requested, in order and/or signed, prior to commencement of any work or project.

TENDERS or QUOTES

Will be on a Fixed Price to completion and/or on a Daily or Hourly Rate. All costs and or prices are dependant on the tender or services required by the client. All additional project requirements will be priced accordingly and Keyfab will only proceed upon presentation, by the client, of a signed order or variation order.

RATES

THERMOPLASTIC WELDING TEAM

A standard Welding team will consist of a welder, whom is Certified in both Thermoplastic and Steel and a skilled assistant, fully maintained & calibrated welding equipment, generator (if required) and their own transport. Any additional requirements may be considered and those costs added to the project at the time of tendering or as a variation.

Daily Rate for a team is R2495-00

LABOUR

A normal working day rate (07:00 to 17:00) including travelling is affective as soon as we leave and return to our premises for the work or project which is required away from our offices, on a site designated by our client. All the rates are per day and No Pro-Rata payments will be accepted unless otherwise stipulated within the contract.

The above is only for the particular skills and services offered and should a mechanical assistant be required there will be separate charge for the assistant at the following rates, unless a suitable assistant/s is/are supplied by the client.

The services regarding the below rates will be subject to the Standard Conditions of Employment for overtime rates, allowances etc.

The above will include the following depending on the nature of the work or project and/or the requirements of the client,

- Standard tools and equipment
- Standard safety equipment


OVERTIME

Should the need arise that the services are required for more than the standard working hours or the agreed period, additional hours worked will be charged for at the Standard Conditions of Employment for overtime rates (excluding VAT) per normal working day. Additional Hours will be any hours before 07:00 and after 17:00, including Saturdays. Sundays and Public holidays will be at double the Standard Rates.

INTERNATIONAL PROJECTS

Should the projects be outside the borders of South Africa, all relevant allowances and costs for the Medicals, Visas, Flights, Accommodation and Transport shall be for the cost of the client, unless otherwise stipulated within the tender and agreed to by the Management of Keyfab.

TRANSPORT

Transport and Travelling will be with our own vehicle for our own equipment and any other or heavy equipment will be for the account of the client unless where more suitable transport is required for that particular site. In which case, the transport and costs will be negotiated.
- Transport and travelling (Standard Rate) R3.55 /km (Up to a 1.5Ton) - Including an additional trailer TBA

EXCLUSIONS (Unless otherwise specifically specified in the Tender or Quote.)

- Accommodation
- Allowances
- Meals
- Medicals and Induction and related costs
- Site Establishment
- Specialist Equipment, including cranes etc
- General consumables
- Standing time ie, Induction, Access controls, Acts of God, Delays beyond the control of Keyfab etc.

All other related costs to that project will be for the account of the client.

PAYMENT TERMS:

1. On delivery of materials or equipment to site (When Required)
2. On completion and presentation of invoice, if the project is of short duration or,
3. Progress payments, if the project duration is longer than a month, payment will be required on or before the 25th of each month.
4. No Pro–Rata payments and/or additional discounts will be considered or allowed unless otherwise agreed to by the Management of Keyfab.
5. Escalation percentages will be adjusted accordingly should there be price and or interest changes.

SPECIAL NOTE:

No work will be carried out without an Official Order.

All additional work and/or including materials will only be carried out on receipt of an official amended order or Signed Site Instruction from an Authorised Client Representative.
